Welcome to Prognostica. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Prognostica ("Company," "we," "our," or "us"), a professional coaching service provider registered in Japan (Registration Number: 53289311) with offices located at 75 Schumm Follow, East Gregfort, TAS 2697, Japan.

Services may be delivered in-person at our Osaka location or via online video conferencing platforms. All services are provided for educational and professional development purposes.
You must be at least 18 years of age to engage our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Initial consultations may be scheduled through our website contact form, email, or phone. We will confirm your appointment via email within 24-48 hours of your request, subject to coach availability.
After the initial consultation, ongoing sessions will be scheduled by mutual agreement between you and your assigned coach. We make reasonable efforts to accommodate your preferred times but cannot guarantee specific time slots will always be available.
Standard coaching sessions are 60 minutes unless otherwise specified in your service agreement. Sessions beginning late due to client delay will still end at the scheduled time. We reserve the right to end sessions that exceed the scheduled duration.
Clients may cancel or reschedule sessions with at least 24 hours advance notice without penalty. Cancellations or rescheduling requests made with less than 24 hours notice will result in forfeiture of that session, and the session will be considered completed.
In the rare event that we must cancel a scheduled session, we will provide as much advance notice as possible and work with you to reschedule at a mutually convenient time. If rescheduling is not possible, you will receive a full refund for that session or a credit toward future services.
Failure to attend a scheduled session without prior notice constitutes a no-show. No-show sessions are considered completed and are non-refundable. Repeated no-shows may result in termination of the service agreement.
Service pricing is provided during the initial consultation and confirmed in your service agreement. Prices are subject to change, but any changes will not affect services already purchased or contracted.
We accept payment via credit card, debit card, bank transfer, or other payment methods as specified during booking. All payments are processed securely through third-party payment processors.

Services require payment in full prior to or at the time of service delivery unless alternative arrangements have been made in writing. Late payments may result in suspension of services until the account is current. A late fee of 5% per month may be applied to overdue balances.
All prices are quoted in Japanese Yen (JPY) unless otherwise specified. Currency conversion rates, if applicable, are determined by your financial institution.

We grant you a limited, non-exclusive, non-transferable license to access and use materials provided during your coaching engagement solely for your personal professional development. You may not:

We maintain strict confidentiality regarding all information you share during coaching sessions. We will not disclose your personal information, coaching content, or progress to third parties without your explicit consent, except as required by law.
You agree to maintain confidentiality regarding our proprietary coaching methodologies, techniques, materials, and business practices.

Success in interviews, public speaking engagements, or career advancement depends on numerous factors beyond our control, including your effort, practice, circumstances, and the decisions of third parties such as employers.
Our services provide coaching, training, and education. We do not provide legal, medical, psychological, therapeutic, or financial advice. If you require such professional services, please consult appropriate licensed professionals.
To the fullest extent permitted by law, Prognostica, its officers, directors, employees, coaches, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of our services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the total amount you have paid to us for services during the six months preceding the claim.
We do not guarantee that our website will be available at all times or free from errors, viruses, or other harmful components. We reserve the right to modify, suspend, or discontinue any aspect of our website or services at any time without notice.
You agree to indemnify, defend, and hold harmless Prognostica, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

With your prior written consent, coaching sessions may be recorded for quality assurance, training purposes, or to provide you with reference materials. Your continued use of our services after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services.
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.
In the event of any dispute arising from or relating to these Terms or our services, both parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, the parties may pursue mediation before resorting to litigation.
Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the courts located in Osaka, Japan, and both parties consent to the jurisdiction of such courts.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Prognostica regarding your use of our services and supersede all prior or contemporaneous communications, agreements, or understandings, whether oral or written.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of Prognostica.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate or successor entity without your consent.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or pandemics.
